Information to collect before drafting

Start with source information, not a copied document from another company. Identify what is confirmed, what is provisional and what needs further review before using it in a working draft.

  • Company and existing register information
  • Transaction or appointment particulars
  • Relevant meeting and approval records
  • Supporting forms and documents

1. Establish the company context

Identify the record affected by the event and establish its opening position. Keep company and register identity clear when handling multiple entities.

2. Prepare a coherent working file

Reconcile proposed changes to approved source documents. Names, identifiers, dates, quantities and amounts should agree with the reviewed event.

3. Separate proposals from completed decisions

Retain the source reference with the update. Distinguish a working entry awaiting verification from a completed record supported by reviewed documents.

4. Reconcile the follow-up records

Periodically reconcile related records, such as shareholding, certificates and capital transactions. Investigate differences rather than silently changing one record to match another.

Illustrative example

Before updating a member record for an allotment, compare the approved particulars and share quantities with the supporting documents. Retain the transaction reference so a later reviewer can understand the change.

Working-file checklist

  • Opening record and source references
  • Event-to-record reconciliation
  • Working update and review status
  • Related-record difference log

Record a document reference, responsible person and completion status for each item. Generated text and a saved checkbox do not themselves establish that the underlying approval, execution or filing has occurred.

References and professional review

This is a workflow preparation guide. Check current amendments, rules, exemptions, forms and applicable Secretarial Standards for the company before finalising a matter. Reference publications may not include every subsequent amendment.
